Términos y condiciones

1. Introducción

GDC Media Limited ("GDC") y todas y cada una de las entidades controladas por, o están afiliadas o bajo control común con GDC se denominan colectivamente en este documento como "nosotros", "nos" o "nuestro".

Por favor lea estos términos de uso cuidadosamente antes de usar cualquier sitio de GDC. Al utilizar cualquier sitio de GDC, usted expresa su aceptación de estos términos de uso. Si no está de acuerdo con estos términos de uso, no puede usar los sitios de GDC. Nos reservamos el derecho, a nuestra entera discreción, de cambiar, modificar, agregar o eliminar partes de estos términos de uso en cualquier momento de acuerdo con los procedimientos establecidos a continuación en la sección 15 denominada "Enmienda".

2. Intercambio recíproco oneroso

Usted reconoce que estos términos de uso se basan en un intercambio recíproco oneroso de valor razonable, cuyo recibo y adecuación se reconocen por la presente. Sin limitar lo anterior, usted reconoce que dicho intercambio incluye, sin limitación, su uso de los Sitios de GDC y la recepción de datos, materiales e información disponible en o a través de los Sitios de GDC, la posibilidad de nuestra revisión, uso o visualización de sus Propuestas (como se define a continuación en la sección 4 denominada como "Propuestas"), y la posibilidad de publicidad y promoción de nuestra revisión, uso o visualización de sus Propuestas.

3. Restricciones en el uso del material

Toda la información, contenido y materiales contenidos en los Sitios de GDC son de nuestra propiedad protegida por derechos de autor o propiedad protegida por derechos de autor de nuestros licenciantes o licenciatarios. Todas las marcas comerciales, marcas de servicio, nombres comerciales e imagen comercial son propiedad nuestra y/o de nuestros licenciantes o licenciatarios. Ninguna información, contenido o material de cualquier Sitio de GDC o cualquier sitio de Internet de nuestra propiedad, operado, licenciado o controlado por nosotros puede ser copiado, reproducido, republicado, cargado, publicado, transmitido o distribuido de ninguna manera, excepto que usted puede descargar una copia de la información, contenido o materiales en cualquier computadora para su uso personal, no comercial en el hogar solamente,  siempre que (a) mantiene intactos todos los avisos de derechos de autor y otros avisos de propiedad, (b) no realiza modificaciones a la información, contenido o materiales, (c) no utiliza la información, el contenido o los materiales de una manera que sugiera una asociación con cualquiera de nuestros productos, servicios o marcas, y (d) no descarga información, contenido o materiales para evitar futuras descargas de cualquier Sitio de GDC. Se prohíbe el uso de cualquier información, contenido o materiales en un Sitio de GDC en cualquier otro sitio web o entorno informático.

Los Sitios de GDC son solo para su uso personal. Usted no puede usar los Sitios de GDC con fines comerciales o de cualquier manera que sea ilegal, o que nos perjudique a nosotros o a cualquier otra persona o entidad, según lo determinemos a nuestra entera discreción.

4. Propuestas

Si intencionalmente o no nos envía Propuestas no solicitadas, o a través de características o actividades en cualquier Sitio de GDC (incluidos, entre otros, juegos, sorteos, concursos, promociones y Foros Públicos (definidos a continuación en la sección 6 denominada como "Foros Públicos u Comunicación”), usted envía, pública o nos envía cualquier información, contenido o materiales, incluidos, entre otros, datos, texto, mensajes,   archivos, imágenes, fotografías, vídeos, obras audiovisuales, composición musical (incluyendo letras), grabaciones de sonido, publicaciones, sus nombres y / o los de otras personas, semejanzas, voces, nombres de usuario, perfiles, acciones, apariciones, actuaciones y / u otra información o material biográfico, y cualquier otro material, así como enlaces a datos, texto, archivos, imágenes, fotografías, videos, obras audiovisuales, composiciones musicales (incluidas las letras), grabaciones de sonido, publicaciones, sus nombres y / o los de otras personas, semejanzas,  voces, nombres de usuario, perfiles, acciones, apariencias, actuaciones y otra información o material biográfico, páginas web y cualquier otro material (colectivamente, "Contenido Generado por el Usuario") a través de dichas características o actividades (dicho Contenido Generado por el Usuario, junto con Propuestas no solicitadas, las "Propuestas"), nosotros (y nuestros licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados) tendremos derecho al uso sin restricciones de dichas Propuestas para cualquier propósito, comercial o de otro tipo,  sin el requisito de ningún permiso o pago a usted o a cualquier otra persona o entidad. Si existe alguna duda o ambigüedad sobre si algún Contenido Generado por el Usuario constituye una Propuesta, dicho Contenido Generado por el Usuario se considerará de manera concluyente como una Propuesta. Ninguna Propuesta estará sujeta a ninguna obligación de confidencialidad por nuestra parte y no seremos responsables de ningún uso o divulgación de ninguna Propuesta. Sin limitar lo anterior, usted nos otorga (y a nuestros licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados), sin el requisito de ningún permiso o pago a usted o a cualquier otra persona o entidad, una licencia mundial perpetua, no exclusiva, irrevocable, totalmente pagada, libre de regalías, sublicenciable y transferible para usar, reutilizar, reproducir, transmitir, imprimir, publicar, exponer, exhibir,  distribuir, redistribuir, copiar, alojar, almacenar, caché, archiva, indexa, categoriza, comenta, difunde, transmite, edita, altera, modifica, adapta, traduce, crea trabajos derivados basados en y realizan públicamente dichas Propuestas, en su totalidad o en parte, en todos los formatos y canales de medios ahora conocidos o diseñados en el futuro (incluyendo, sin limitación, en los Sitios de GDC y en sitios web de terceros) para todos y cada uno de los propósitos, incluyendo,   sin limitación, noticias, publicidad, promocional, marketing, publicidad, comercio o fines comerciales, todo sin previo aviso y con o sin atribución (la "Licencia sobre las Propuestas"). En la medida en que cualquier Envío enviado por usted contenga canciones o grabaciones originales, usted declara que es miembro de ASCAP, BMI, SESAC (por sus siglas en inglés) o cualquier otra sociedad de derechos de ejecución aplicable y que todas las composiciones musicales (incluidas las letras) contenidas en dichas Propuestas están disponibles para su licencia para nosotros (y nuestros licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados) directamente de dichas sociedades. No obstante lo anterior, independientemente de si usted es miembro de cualquier sociedad de derechos de ejecución, por la presente nos otorga (y a nuestros licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados) una licencia perpetua, no exclusiva e irrevocable para interpretar públicamente todas y cada una de las composiciones musicales (incluidas las letras) contenidas en dichas Propuestas. En la medida en que solicitemos Propuestas a través de características o actividades en los Sitios de GDC (incluidos, entre otros, juegos, sorteos, concursos, promociones y Foros Públicos (definidos a continuación en la sección 6 denominada como "Foros Públicos y Comunicación ") que requieren el uso de nuestros trabajos protegidos por derechos de autor (en su totalidad o en parte), por la presente le otorgamos una licencia no exclusiva para crear un trabajo derivado utilizando nuestros trabajos protegidos por derechos de autor (en su totalidad o en parte); sin embargo, dicha licencia estará condicionada a su asignación de todos los derechos sobre el trabajo que crea a nosotros (y a nuestros licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados). Si dichos derechos no se nos asignan a nosotros (y a nuestros licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados), su licencia para crear material utilizando nuestras obras protegidas por derechos de autor (en su totalidad o en parte) será nula y sin efecto. Usted acepta la anterior concesión de derechos, consentimientos, acuerdos y cesiones, ya sea que sus Propuestas sean utilizados o no por nosotros.

Por la presente, usted nos designa como su agente con pleno poder para celebrar y ejecutar cualquier documento y / o realizar cualquier acto que consideremos apropiado para confirmar la concesión de derechos, consentimientos, acuerdos, asignaciones y renuncias establecidas en estos términos de uso.

Usted acepta que cualquier Propuesta que realice no se realiza de manera confidencial o fiduciaria y que no se pretende ni se crea ninguna relación confidencial o fiduciaria entre usted y nosotros de ninguna manera. En la medida en que existan "derechos morales", "derechos accesorios" o derechos similares en o para las Propuestas y no sean de nuestra propiedad exclusiva, usted acepta no hacer valer dichos derechos a nosotros o a nuestros licenciatarios, distribuidores, agentes, representantes y otros usuarios autorizados, y usted procurará el mismo acuerdo para no hacer cumplir a ningún otro que pueda poseer tales derechos.

Sin limitar el alcance de la Licencia sobre las Propuestas o cualquier concesión futura de derechos, consentimientos, acuerdos, asignaciones y renuncias que pueda hacer con respecto a las Propuestas, por la presente ratifica cualquier concesión previa de derechos, consentimientos, acuerdos, asignaciones y renuncias realizadas por usted con respecto a los Propuestas que nos envíe.

5. Información de registro y seguridad

Usted acepta proporcionar, mantener y actualizar información verdadera, precisa, actual y completa sobre usted según lo soliciten nuestros procesos de registro (los "Datos de registro"). Si proporciona cualquier información que no satisfaga esta disposición, o si tenemos motivos razonables para sospecharlo, tenemos el derecho de suspender o cancelar su cuenta y rechazar cualquier uso actual o futuro de cualquier Sitio de GDC (o cualquier parte del mismo).

También acepta (a) notificarnos de inmediato utilizando el formulario ubicado en las páginas corporativas de cualquier uso no autorizado de su nombre de usuario, contraseña, otra información de la cuenta o cualquier otra violación de seguridad de la que tenga conocimiento que involucre o esté relacionada con cualquier Sitio de GDC. Además, usted acepta salir de su cuenta al final de cada sesión.

Renunciamos explícitamente a la responsabilidad por todas y cada una de las pérdidas y daños que surjan de su incumplimiento de esta sección.

6. Foros Públicos y Comunicación 

"Foro Público" significa un área, sitio o característica ofrecida como parte de cualquier Sitio de GDC que permite a los usuarios o visitantes de cualquier Sitio de GDC (a) enviar, publicar, mostrar y/o ver Contenido Generado por el Usuario y/o (b) comunicarse, compartir o intercambiar Contenido Generado por el Usuario con otros usuarios del Sitio de GDC, visitantes y miembros del público en general, incluyendo,  sin limitación, un área de chat, tablero de mensajes, mensajería instantánea, mensajería móvil, entorno de comunidad social, página de perfil, página de conversación, función de correo electrónico.

Usted reconoce que cualquier cosa que envíe a un Sitio de GDC a través de cualquier Foro Público puede ser enrutada a través de nuestros servidores, los servidores de uno o más terceros en nuestro nombre e Internet, y puede ser vista en Internet por el público en general y que, por lo tanto, no tiene ninguna expectativa de privacidad con respecto a dicha presentación. Usted reconoce que los Foros Públicos y las funciones ofrecidas en ellos son para comunicaciones públicas y no privadas. No podemos garantizar la seguridad de ninguna información que divulgue a través de cualquiera de estos medios; usted hace tales divulgaciones bajo su propio riesgo.

Usted es y seguirá siendo el único responsable del Contenido Generado por el Usuario enviado y / o publicado bajo su nombre de usuario o de otra manera por usted en cualquier Foro Público y de las consecuencias de enviar y publicar el mismo. Usted reconoce que el uso del Contenido Generado por el Usuario publicado en cualquier Foro Público es bajo su propio riesgo. Por ejemplo, no somos responsables de, y no respaldamos, las opiniones, consejos o recomendaciones publicadas o enviadas por los usuarios en cualquier Foro Público y renunciamos específicamente a cualquier y toda responsabilidad en relación con el mismo.

Nos reservamos el derecho de filtrar, negarnos a publicar, eliminar o editar Contenido Generado por el Usuario en cualquier momento y por cualquier motivo o sin motivo alguno a nuestra absoluta y exclusiva discreción sin previo aviso. Si elegimos filtrar el Contenido Generado por el Usuario, puede haber un retraso en la publicación de dicho contenido en un Foro Público para permitir un proceso de revisión. Si tenemos preguntas sobre su Contenido Generado por el Usuario, incluidos, entre otros, los derechos de autor, podemos comunicarnos con usted para obtener más información, incluido, por ejemplo, para verificar que posee los derechos de autor u obtuvo permiso para publicar el material.

Al participar en un Foro Público, nunca asuma que las personas son quienes dicen ser, saben lo que dicen que saben o están afiliadas con quien dicen estar afiliadas. La información obtenida en un Foro Público puede no ser confiable, y no es una buena idea tomar ninguna medida, incluso para comerciar o tomar decisiones de inversión, basadas única o principalmente en información que no puede confirmar. No podemos ser responsables de la exactitud de ningún Contenido Generado por el Usuario contenido en un Foro Público, y no seremos responsables de ninguna negociación, inversión o cualquier otra decisión tomada o acción tomada o no tomada en base a dicha información o contenido.

Su capacidad para acceder y navegar por el Contenido Generado por el Usuario dentro de un Foro Público y / o para enviar y / o publicar Contenido Generado por el Usuario dentro de un Foro Público puede estar sujeta a ciertas restricciones de edad y / o procedimientos relacionados que podemos revisar a nuestra entera discreción en cualquier momento y por cualquier motivo. Cualquier restricción y procedimiento de edad se publicará en el Foro Público, según corresponda.

7. Reglas de la casa

La siguiente es una lista de las Reglas de la Casa aplicables a los Sitios de GDC. Al utilizar los Sitios de GDC, usted acepta que:

• No enviará, publicará, cargará, distribuirá ni pondrá a disposición ni transmitirá ningún Contenido Generado por el Usuario que: (a) sea difamatorio, abusivo, acosador, insultante, amenazante o que pueda considerarse que acecha o constituye una invasión del derecho a la privacidad de otra persona; (b) sea intolerante, odioso u ofensivo desde el punto de vista racial o de otro tipo; (c) sea violento, vulgar, obsceno, pornográfico o sexualmente explícito; (d) sea ilegal o aliente o defienda actividades ilegales o la discusión de actividades ilegales con la intención de cometerlas; (e) infrinja o viole cualquier derecho de un tercero o cualquier ley, norma o regulación nacional o internacional, incluidos, entre otros: (i) derechos de autor, patentes, marcas comerciales, secretos comerciales u otros derechos de propiedad o contractuales; (ii) derecho a la privacidad (específicamente, no debe distribuir la información personal de otra persona de ningún tipo sin su permiso expreso) o publicidad; o (iii) cualquier obligación de confidencialidad; o (f) no cumple con todos los términos y condiciones aplicables a la Licencia sobre las Propuestas (establecidos anteriormente en la sección 4 denominada como "PROPUESTAS");

Usted posee o tiene los derechos, licencias, consentimientos y permisos necesarios, sin necesidad de ningún permiso o pago a ninguna otra persona o entidad, para usar, y autorizarnos a usar, distribuir o explotar de cualquier otra forma permitida por estas condiciones de uso (incluyendo, sin limitación, la Licencia sobre las Propuestas), todos los derechos de autor, marcas registradas, patentes, secretos comerciales, derechos de privacidad y publicidad (incluyendo, sin limitación, nombres, parecidos y voces) y/u otros derechos de propiedad contenidos en cualquier Contenido Generado por el Usuario que usted envíe, publique, cargue, distribuya o ponga a disposición o transmita de cualquier otra forma. Como se ha indicado anteriormente con respecto a la Licencia sobre las Propuestas (establecida en la sección 4 titulada "Propuestas"), en la medida en que cualquier Propuesta enviada y/o publicada por usted contenga canciones o grabaciones originales, usted declara por la presente que es miembro de ASCAP, BMI, SESAC (por sus siglas en inglés) o cualquier otra sociedad de derechos de ejecución aplicable y que todas las composiciones musicales (incluidas las letras) contenidas en dichas Propuestas están disponibles para ser licenciadas a nosotros directamente por dichas sociedades. Sin perjuicio de lo anterior, independientemente de si usted es miembro de cualquier sociedad de derechos de ejecución, por la presente nos concede una licencia perpetua, no exclusiva e irrevocable para ejecutar públicamente todas y cada una de las composiciones musicales (incluyendo letras) contenidas en dichas Propuestas.

- Usted no (a) anunciará ni venderá ningún producto, servicio o de otro tipo (con o sin ánimo de lucro), ni solicitará a otros (incluyendo, sin limitación, solicitudes de contribuciones o donaciones) ni utilizará ningún Foro Público para fines comerciales de ningún tipo, ni (b) utilizará ningún producto o servicio disponible en cualquier Sitio de GDC (incluyendo, sin limitación, tarjetas de felicitación electrónicas, funciones de correo electrónico (por ejemplo, mensajes de correo electrónico para enviar a un amigo) y fuentes RSS (por sus siglas en inglés o archivo XML) u otras fuentes de tipo similar) para fines comerciales de ningún tipo;

-Usted no enviará, publicará, cargará, distribuirá o pondrá a disposición o transmitirá de otro modo ningún software u otros archivos informáticos que contengan un virus u otro componente dañino, o que de otro modo perjudique o dañe los Sitios de GDC o cualquier red conectada, o que de otro modo interfiera con el uso o disfrute de los Sitios de GDC por parte de cualquier persona o entidad;

-Usted no se hará pasar por ninguna persona o entidad ni falseará su identidad o afiliación con ninguna persona o entidad, incluyendo, sin limitación, el uso del nombre de usuario, contraseña u otra información de cuenta de otra persona, o el nombre, parecido, voz, imagen o fotografía de otra persona;

- Usted no participará en actos antisociales, perturbadores o destructivos, incluidos "flaming", "spamming", "flooding", "trolling" y "griefing", tal y como estos términos se entienden y utilizan comúnmente en Internet;

- Usted no borrará ningún aviso legal, descargo de responsabilidad o aviso de propiedad, como los símbolos de copyright o marca comercial, ni modificará ningún logotipo que no sea de su propiedad o que no tenga permiso expreso para modificar;

- Usted no enviará, publicará, cargará, distribuirá o pondrá a disposición o transmitirá de cualquier otro modo ningún Contenido Generado por el Usuario ni hará declaraciones en ningún Foro Público que no pertenezcan en general al tema o asunto designado del Foro Público;

- Usted no enviará, publicará, cargará, distribuirá o pondrá a disposición o transmitirá (ni intentará enviar, publicar, cargar, distribuir o poner a disposición o transmitir) ningún Contenido Generado por el Usuario que infrinja las restricciones de un Foro Público, incluidas, entre otras, sus restricciones de edad, procedimientos y/o estas condiciones de uso; y

- Usted no participará (ni intentará participar) en ninguna actividad delictiva, incluyendo, sin limitación, pornografía infantil, acoso, agresión sexual, fraude, tráfico de material obsceno o robado, tráfico de drogas, acoso, robo y conspiración para cometer cualquier actividad delictiva.

No podemos asegurar y no aseguramos que otros usuarios cumplan o vayan a cumplir las anteriores Reglas de la casa o cualquier otra disposición de estas condiciones de uso, y, entre usted y nosotros, usted asume por la presente todo riesgo de daño o lesión resultante de cualquier incumplimiento.

En la medida en que cualquier función de la página web de GDC requiera que el usuario facilite su dirección de correo electrónico o su número de teléfono móvil para enviar una tarjeta, un correo electrónico o un mensaje, el usuario deberá facilitar su dirección de correo electrónico real o su número de teléfono móvil real, según proceda, y por la presente se compromete a ello. Queda estrictamente prohibido cualquier uso comercial, "reenvío" u otra aplicación de gran volumen. No está permitido enviar tarjetas, correos electrónicos o mensajes utilizando un programa automatizado. Las tarjetas de felicitación electrónicas, los correos electrónicos y los mensajes de móvil no pueden contener lenguaje o imágenes inapropiados ni material protegido por derechos de autor (sin el consentimiento del titular de los derechos) ni fomentar actividades ilegales. Nos reservamos el derecho a no enviar tarjetas de felicitación electrónicas, correos electrónicos y mensajes de móvil que infrinjan estas directrices.

8. Nuestros derechos de retirar contenido

Nos reservamos el derecho, pero declinamos cualquier obligación o responsabilidad, de eliminar cualquier Contenido Generado por el Usuario de cualquier Sitio de GDC (a) que viole estas condiciones de uso (incluyendo, sin limitación, las Reglas de la casa) y (b) para cumplir con cualquier citación, orden o cooperar de otro modo con los funcionarios encargados de hacer cumplir la ley en relación con la identificación de cualquier usuario que presuntamente esté utilizando un Sitio de GDC en violación de la ley. Si lo consideramos oportuno a nuestra entera discreción, nos reservamos el derecho a conservar un registro de cualquier Contenido Generado por el Usuario y a entregarlo en su totalidad o en parte a los funcionarios encargados de hacer cumplir la ley.

9. Contenido ligado a cualquier Sitio de GDC

Usted debe tener en cuenta que, cuando se encuentre en un sitio web de GDC, podría ser redirigido a otros sitios que están fuera de nuestro control. Hay enlaces a otros sitios desde páginas de los sitios de GDC que le llevan fuera de nuestro servicio. Por ejemplo, si hace clic en un afiche publicitario o en un resultado de búsqueda, el clic puede llevarle fuera del Sitio de GDC. Esto incluye enlaces de anunciantes, patrocinadores y socios de contenido que pueden utilizar nuestro(s) logotipo(s) como parte de una relación de marca compartida. Usted reconoce que cuando hace clic en un enlace que le lleva fuera de la web de GDC, la web a la que accede no está controlada por nosotros y pueden aplicarse condiciones de uso y política de privacidad diferentes. Al hacer clic en enlaces a otros sitios, usted reconoce que no somos responsables de esos sitios. Nos reservamos el derecho a desactivar los enlaces de sitios de terceros a cualquier Sitio de GDC, aunque no tenemos ninguna obligación de hacerlo.

No hacemos ninguna declaración sobre el contenido de los sitios que figuran en cualquiera de nuestros directorios. Por consiguiente, no podemos hacernos responsables de la exactitud, pertinencia, cumplimiento de los derechos de autor, legalidad o decencia del material contenido en los sitios que figuran en nuestros resultados de búsqueda o que estén vinculados de otro modo a un Sitio de GDC.

10. Renuncia

LA INFORMACIÓN, EL CONTENIDO Y LOS MATERIALES DE LOS SITIOS DE GDC SE PROPORCIONAN "TAL CUAL" Y SIN GARANTÍAS DE NINGÚN TIPO, NI EXPRESAS NI IMPLÍCITAS. EN LA MEDIDA EN QUE LO PERMITA LA LEGISLACIÓN APLICABLE, RENUNCIAMOS A TODAS LAS GARANTÍAS, EXPRESAS O IMPLÍCITAS, INCLUIDAS, ENTRE OTRAS, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, IDONEIDAD PARA UN FIN DETERMINADO Y NO INFRACCIÓN. NO GARANTIZAMOS QUE LAS FUNCIONES CONTENIDAS EN LA INFORMACIÓN, EL CONTENIDO Y LOS MATERIALES DE CUALQUIER SITIO DE GDC (INCLUIDOS, ENTRE OTROS, LOS CONTENIDOS GENERADOS POR LOS USUARIOS) SEAN ININTERRUMPIDAS O ESTÉN LIBRES DE ERRORES, QUE LOS DEFECTOS SE CORRIJAN O QUE CUALQUIER SITIO DE GDC O LOS SERVIDORES QUE PONEN A DISPOSICIÓN DICHA INFORMACIÓN, CONTENIDO Y MATERIALES ESTÉN LIBRES DE VIRUS U OTROS COMPONENTES DAÑINOS. ADEMÁS, USTED ASUME EL COSTO TOTAL DE TODOS LOS SERVICIOS, REPARACIONES O CORRECCIONES NECESARIOS. ADEMÁS, USTED RECONOCE Y ACEPTA QUE NI NOSOTROS NI NUESTROS LICENCIANTES Y LICENCIATARIOS, NI NINGUNO DE LOS RESPECTIVOS REVENDEDORES, DISTRIBUIDORES, PROVEEDORES DE SERVICIOS O SUMINISTRADORES DE LAS ENTIDADES ANTERIORES SOMOS RESPONSABLES DE (A) CUALQUIER INCOMPATIBILIDAD ENTRE LOS SITIOS DE GDC Y CUALQUIER SITIO WEB, SERVICIO, SOFTWARE O HARDWARE O (B) CUALQUIER RETRASO O FALLO QUE USTED PUEDA EXPERIMENTAR CON CUALQUIER TRANSMISIÓN O TRANSACCIÓN RELACIONADA CON LOS SITIOS DE GDC DE FORMA PRECISA U OPORTUNA.

LAS LIMITACIONES, EXCLUSIONES Y EXENCIONES DE RESPONSABILIDAD DE ESTA SECCIÓN Y DE CUALQUIER OTRA PARTE DE ESTAS CONDICIONES DE USO SE APLICAN EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEGISLACIÓN APLICABLE.

13. Jurisdicción y Competencia

All trademarks, service marks, trade names, and trade dress are proprietary to us and/or our licensors or licensees. No information, content or material from any GDC Site or any Internet site owned, operated, licensed, or controlled by us may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except that you may download one copy of the information, content or materials on any single computer for your personal, noncommercial home use only, provided that (a) you keep intact all copyright and other proprietary notices, (b) you make no modifications to the information, content or materials, (c) you do not use the information, content or materials in a manner that suggests an association with any of our products, services or brands, and (d) you do not download information, content or materials so as to avoid future downloads from any GDC Site. The use of any information, content or materials on a GDC Site on any other Web site or computer environment is prohibited.

Notwithstanding the foregoing, regardless of whether you are a member of any performing rights society, you hereby grant us (and our licensees, distributors, agents, representatives and other authorized users) a perpetual, non-exclusive and irrevocable license to publicly perform each and every musical composition (including lyrics) contained in such Submissions. To the extent that we solicit Submissions through features or activities on GDC Sites (including, without limitation, games, sweepstakes, contests, promotions and Public Forums (defined below in section 6 labeled "PUBLIC FORUMS AND COMMUNICATION")) that require the use of our copyrighted works (in whole or in part), we hereby grant you a non-exclusive license to create a derivative work using our copyrighted works (in whole or in part); provided however, that such license shall be conditioned upon your assignment of all rights in the work you create to us (and our licensees, distributors, agents, representatives and other authorized users). Without limiting the scope of the Submissions License or any future grant of rights, consents, agreements, assignments and waivers you may make with respect to Submissions, you hereby ratify any prior grant of rights, consents, agreements, assignments and waivers made by you with respect to Submissions submitted by you to us.

5. Registration Information and Security

You agree to provide, maintain and update true, accurate, current and complete information about yourself as prompted by our registration processes (the "Registration Data"). If you provide any information that does not satisfy this provision, or we have reasonable grounds to suspect as much, we have the right to suspend or terminate your account and refuse any and all current or future use of any GDC Site (or any portion thereof).

You also agree (a) to promptly notify us using the form located at (https://kax.ie/#contact) of any unauthorized use of your username, password, other account information, or any other breach of security that you become aware of involving or relating to any GDC Site. In addition, you agree to exit from your account at the end of each session.

We explicitly disclaim liability for any and all losses and damages arising from your failure to comply with this section.

6. Public Forums and Communication

"Public Forum" means an area, site or feature offered as part of any GDC Site that enables users or visitors of any GDC Site (a) to submit, post, display and/or view User-Generated Content and/or (b) to communicate, share or exchange User-Generated Content with other GDC Site users, visitors and members of the general public including, without limitation, a chat area, message board, instant messaging, mobile messaging, social community environment, profile page, conversation page, e-mail function.

You acknowledge that anything you submit to a GDC Site by way of any Public Forum may be routed through our servers, the servers of one or more third parties on our behalf and the Internet, and may be viewed on the Internet by the general public and that, therefore, you have no expectation of privacy with regard to any such submission. You acknowledge that Public Forums and features offered therein are for public and not private communications. We cannot guarantee the security of any information you disclose through any of these media; you make such disclosures at your own risk.

You are and shall remain solely responsible for the User-Generated Content submitted and/or posted under your username or otherwise by you in any Public Forum and for the consequences of submitting and posting same. You acknowledge that the use of User-Generated Content posted in any Public Forum is at your own risk. For example, we are not responsible for, and we do not endorse, the opinions, advice or recommendations posted or sent by users in any Public Forum and we specifically disclaim any and all liability in connection therewith.

We reserve the right to screen, refuse to post, remove or edit User-Generated Content at any time and for any or no reason in our absolute and sole discretion without prior notice. If we elect to screen User-Generated Content, there may be a delay in the posting of such content in a Public Forum to allow for a review process. The following is a list of House Rules applicable to the GDC Sites. By using the GDC Sites, you agree that:

You will not submit, post, upload, distribute, or otherwise make available or transmit any User-Generated Content that: (a) is defamatory, abusive, harassing, insulting, threatening, or that could be deemed to be stalking or constitute an invasion of a right of privacy of another person; (b) is bigoted, hateful, or racially or otherwise offensive; (c) is violent, vulgar, obscene, pornographic or otherwise sexually explicit; (d) is illegal or encourages or advocates illegal activity or the discussion of illegal activities with the intent to commit them; (e) infringes or violates any right of a third party or any domestic or international law, rule or regulation including, but not limited to: (i) copyright, patent, trademark, trade secret or other proprietary or contractual rights; (ii) right of privacy (specifically, you must not distribute another person's personal information of any kind without their express permission) or publicity; or (iii) any confidentiality obligation; or (f) does not comply with all terms and conditions applicable to the Submissions License (set forth above in section 4 labeled "SUBMISSIONS");

You own or have the necessary rights, licenses,consents and permissions, without the need for any permission from or payment to any other person or entity, to use, and to authorize us to use, distribute or otherwise exploit in all manners permitted by these terms of use (including, without limitation, the Submissions License), all copyrights, trademarks, patents, trade secrets, privacy and publicity rights (including, without limitation, names, likenesses and voices) and/or other proprietary rights contained in any User-Generated Content that you submit, post, upload, distribute or otherwise make available or transmit. As stated above with respect to the Submissions License (set forth above in section 4 labeled "SUBMISSIONS"), to the extent that any Submissions submitted and/or posted by you contain original songs or recordings, you hereby represent that you are a member of ASCAP, BMI, SESAC or any other applicable performing rights society and that all musical compositions (including lyrics) contained in such Submissions are available for licensing to us directly from such societies. Notwithstanding the foregoing, regardless of whether you are a member of any performing rights society, you hereby grant us a perpetual, non-exclusive and irrevocable license to publicly perform each and every musical composition (including lyrics) contained in such Submissions;
3. You will not (a) advertise or sell any products, services or otherwise (whether or not for profit), or solicit others (including, without limitation, solicitations for contributions or donations) or use any Public Forum for commercial purposes of any kind, or (b) use any product or service available on any GDC Site (including, without limitation, electronic greeting cards, e-mail functions (e.g., send-a-friend e-mails) and RSS feeds or other similar type feeds) for commercial purposes of any kind;
4. You will not submit, post, upload, distribute, or otherwise make available or transmit any software or other computer files that contain a virus or other harmful component, or otherwise impair or damage the GDC Sites or any connected network, or otherwise interfere with any person or entity's use or enjoyment of the GDC Sites;
5. You will not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity including, without limitation, using another person's username, password or other account information, or another person's name, likeness, voice, image or photograph;
6. You will not engage in antisocial, disruptive, or destructive acts, including "flaming," "spamming," "flooding," "trolling," and "griefing" as those terms are commonly understood and used on the Internet;
7. You will not delete any legal notices, disclaimers or proprietary notices such as copyright or trademark symbols, or modify any logos that you do not own or have express permission to modify;
8. You will not submit, post, upload, distribute or otherwise make available or transmit any User-Generated Content or make statements in any Public Forum that do not generally pertain to the designated topic or theme of the Public Forum;
9. You will not submit, post, upload, distribute or otherwise make available or transmit (or attempt to submit, post, upload, distribute or otherwise attempt to make available or transmit) any User-Generated Content in violation of a Public Forum's restrictions including, but not limited to, its age restrictions, procedures and/or these terms of use; and
10. You will not engage in (or attempt to engage in) any criminal activity including, without limitation, child pornography, stalking, sexual assault, fraud, trafficking in obscene or stolen material, drug dealing, harassment, theft, and conspiracy to commit any criminal activity.

We cannot and do not assure that other users are or will be complying with the foregoing House Rules or any other provisions of these terms of use, and, as between you and us, you hereby assume all risk of harm or injury resulting from any such lack of compliance.

To the extent that any feature on a GDC Site requires you to submit your e-mail address or mobile phone number in order to send a card, e-mail or message, you must, and you hereby agree to, furnish your actual e-mail address or actual mobile phone number, as applicable. Any business use, "re-mailing," or other high-volume application is strictly prohibited. You are not permitted to send cards, e-mails or messages using an automated program. Electronic greeting cards, e-mails and mobile messages may not contain inappropriate language or images or copyrighted material (without the consent of the copyright holder) or encourage illegal activity. We reserve the right not to deliver electronic greeting cards, e-mails and mobile messages that violate these guidelines.

8. Our Content Removal Rights

We reserve the right, but disclaim any obligation or responsibility, to remove any User-Generated Content from any GDC Site (a) that violates these terms of use (including, without limitation, the House Rules) and (b) to comply with any subpoena, order or otherwise cooperate with law enforcement officials regarding the identification of any user alleged to be using a GDC Site in violation of the law. If we deem appropriate in our sole discretion, we reserve the right to preserve a record of any such User-Generated Content and turn all or a portion thereof over to law enforcement officials.

9. Content Linked to any GDC Site

You should be aware that when you are on a GDC Site, you could be directed to other sites that are beyond our control. There are links to other sites from pages on GDC Sites that take you outside of our service. For example, if you click on a banner advertisement or a search result, the click may take you off the GDC Site. This includes links from advertisers, sponsors and content partners that may use our logo(s) as part of a co-branding relationship. You acknowledge that when you click on a link that leaves a GDC Site, the site you will land on is not controlled by us and different terms of use and privacy policy may apply. By clicking on links to other sites, you acknowledge that we are not responsible for those sites. We reserve the right to disable links from third-party sites to any GDC Site, although we are under no obligation to do so.

We make no representations concerning the content of sites listed in any of our directories. Consequently, we cannot be held responsible for the accuracy, relevancy, copyright compliance, legality, or decency of material contained in sites listed in our search results or otherwise linked to a GDC Site.

12. Limitation of Liability

YOU FURTHER ACKNOWLEDGE AND AGREE THAT NEITHER WE NOR OUR LICENSORS AND LICENSEES, NOR ANY OF THE FOREGOING ENTITIES' RESPECTIVE RESELLERS, DISTRIBUTORS, SERVICE PROVIDERS OR SUPPLIERS ARE RESPONSIBLE OR LIABLE FOR (A) ANY INCOMPATIBILITY BETWEEN THE GDC SITES AND ANY WEB SITE, SERVICE, SOFTWARE OR HARDWARE OR (B) ANY DELAYS OR FAILURES YOU MAY EXPERIENCE WITH ANY TRANSMISSIONS OR TRANSACTIONS RELATING TO THE GDC SITES IN AN ACCURATE OR TIMELY MANNER.

THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION AND ELSEWHERE IN THESE TERMS OF USE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR THE EXCLUSION, LIMITATION, OR DISCLAIMER LIABILITY FOR THE CERTAIN PROVISIONS SET FORTH IN THESE TERMS OF USE, SO SUCH EXCLUSIONS, LIMITATIONS OR DISCLAIMERS MAY NOT APPLY TO YOU.

13. Jurisdictional and Venue Issues

You agree that any action at law or in equity arising out of or relating to these terms of use shall be filed, and that venue properly lies, only in courts located in the British Virgin Islands, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. We make no representation that information, content or materials on any GDC Site are appropriate or available for use in any particular location. Those who choose to access a GDC Site do so on their own initiative and are responsible for compliance with all applicable laws including, but not limited to, any applicable local laws.

14. Amendment

We reserve the right, in our sole discretion, to change, modify, add or delete portions of these terms of use at any time without notice, and it is your responsibility to review these terms of use for any changes. Your use of any GDC Site following any amendment of these terms of use will signify and constitute your assent to and acceptance of such revised terms of use.

15. Termination

These terms of use are effective until terminated by either you or us. You may terminate these terms of use at any time by discontinuing use of all GDC Sites and destroying all materials obtained from any and all such sites and all related documentation and all copies and installations thereof, whether made under these terms of use or otherwise.

We may immediately terminate these terms of use with respect to you (including your access to any and all GDC Sites) without cause and without notice to you in our sole discretion. Upon termination, you must cease use of all GDC Sites and destroy all materials obtained from such sites and all copies thereof, whether made under these terms of use or otherwise.

We have adopted and implemented a policy that provides for the termination, in appropriate circumstances, of users who are repeat infringers of copyright.

The provisions of these terms of use, which by their nature should survive the termination of these terms of use, shall so survive such termination.

16. General Provisions

These terms of use shall be governed by and construed in accordance with the laws of the State of New York and the laws of the United States, without giving effect to any principles of conflicts of law. If any provision of these terms of use shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms of use and shall not affect the validity and enforceability of any remaining provisions. No waiver of any provision of these terms of use by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these terms of use shall not constitute a waiver of such right or provision. YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO ANY GDC SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION SHALL BE PERMANENTLY BARRED.

17. Notice and Procedure for Making Claims of Copyright Infringement

We may give notice of copyright infringement to our users by means of a general notice on any GDC Site, electronic mail to a user's e-mail address in our records, or by written communication sent by first-class mail to a user's physical address in our records. If you receive such a notice, you may provide counter-notification in writing to the designated agent in the original notification that includes the information below. To be effective, the counter-notification must be a written communication that includes the following:

1. Your physical or electronic signature; Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or access to it was disabled; A statement from you under the penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled; and Your name, physical address and telephone number, and a statement that you consent to the jurisdiction of a Federal District Court for the judicial district in which your physical address is located, or if your physical address is outside of the United States, for any judicial district in which GDC may be found, and that you will accept service of process from the person who provided notification of allegedly infringing material or an agent of such person.

18. Language Versions

In the event of there being a discrepancy between the English language version of this policy and any other language version, the English language version will be deemed to be correct.
